1. Who We Are

Wise AI ("Wise AI," "we," "our," or "us") provides contactless health monitoring technology that uses computer vision to estimate certain physiological signals through a device camera during live video interactions.

Wise AI does not provide medical diagnosis, treatment, or clinical decision-making.

2. Eligibility

You may use the Services if:

• You are at least 18 years old, or
• You are using the Services with the consent of a parent, legal guardian, or authorized healthcare provider

Healthcare organizations, senior living operators, and enterprise users represent and warrant that they have appropriate authority and consent to use the Services on behalf of patients or residents.

3. Nature of the Service (Important)

• Wise AI provides health insights, not medical care.
• The Services are not a medical device unless explicitly stated otherwise.
• The outputs are informational only and are intended to support wellness monitoring and clinical workflows.
• The Services do not replace professional medical judgment, diagnosis, or treatment.
• Always consult a qualified healthcare professional for medical concerns.

4. How the Technology Works

Wise AI uses a technique known as remote photoplethysmography (rPPG), which analyzes subtle color changes in the face caused by blood flow using a device camera.

During use:

• Video is processed in real time
• Video is not recorded or stored
• Only derived signals and health insights (e.g., estimated heart rate or breathing rate) may be generated and stored, depending on configuration

5. Consent to Camera Use & Data Processing

By continuing to use the Services (including during a Zoom visit), you explicitly consent to:

• Use of your device camera for real-time processing
• Analysis of video solely to generate health insights
• Storage of derived insights (not raw video), where applicable

If you do not consent, please discontinue use of the Services.

6. Privacy & Data Protection

Your privacy matters to us.

• Wise AI does not store raw video or audio
• Video is processed transiently and discarded immediately
• Stored data consists only of derived metrics and system metadata
• Data is encrypted and protected using industry-standard safeguards
• We do not sell personal data

7. User Responsibilities

You agree to:

• Use the Services only for lawful and authorized purposes
• Follow all applicable laws, regulations, and institutional policies
• Not attempt to reverse engineer, misuse, or disrupt the Services
• Not use the Services for emergency or life-critical situations

8. Organizational & Enterprise Use

If you are using Wise AI on behalf of an organization (e.g., telehealth provider, senior living community):

• You are responsible for obtaining all required patient or resident consents
• You are responsible for how outputs are used in care workflows
• You agree to ensure appropriate training and oversight of staff

9. Intellectual Property

All rights, title, and interest in the Services—including software, models, algorithms, designs, and content—belong to Wise AI or its licensors.

You may not:

• Copy, modify, or distribute the Services
• Use Wise AI branding without permission
• Use outputs to train competing models without written consent

10. No Warranties

The Services are provided "as is" and "as available."

Wise AI disclaims all warranties, including:

• Accuracy or completeness of outputs
• Fitness for a particular purpose
• Uninterrupted or error-free operation

11. Limitation of Liability

To the maximum extent permitted by law:

• Wise AI is not liable for indirect, incidental, or consequential damages
• Wise AI is not liable for clinical decisions made using the Services
• Total liability will not exceed the amount paid to Wise AI in the prior 12 months (if any)

12. Termination

We may suspend or terminate access to the Services if:

• These Terms are violated
• Use creates legal, regulatory, or security risk
• Required by law or regulatory authorities

You may stop using the Services at any time.

13. Changes to These Terms

We may update these Terms periodically. Updates will be posted with a revised "Last Updated" date. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
